Terms of Service

By accessing or using zaaum's Services (including Store Management and Greenlight Dispatching), you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to these Terms and our Privacy Policy.

If you are using the Services on behalf of a business, you represent that you have the authority to bind that business to these Terms, and “you” refers to both you and that business.

zaaum provides cloud-hosted, multi-tenant SaaS products including:

• Store Management: An e-commerce platform for creating and operating online stores, including product catalogues, order management, inventory, customer management, and a customisable storefront.
• Greenlight Dispatching: A carrier management and dispatching platform for freight operations (currently in development).

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practicable. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

You must provide accurate, complete, and current information when registering. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must notify us immediately at hello@zaaum.com if you suspect any unauthorised access to your account.

You may not share your account credentials, create accounts by automated means, or maintain more than one account per person without written permission from us.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

You agree not to use the Services to:

• Violate any applicable local, national, or international law or regulation
• Transmit any material that is unlawful, defamatory, fraudulent, or harmful
• Distribute malware, spyware, or any other malicious software
• Attempt to gain unauthorised access to any part of the Services or our infrastructure
• Scrape, crawl, or systematically extract data from the platform without our written consent
• Use the Services to send unsolicited commercial communications (spam)
• Resell, sublicence, or provide access to the Services to third parties without our written consent
• Reverse engineer, decompile, or disassemble any part of the Services

We reserve the right to investigate and take appropriate action (including suspension or termination) against anyone who violates this section.

Paid subscriptions are billed in advance on a monthly or annual basis depending on the plan you select. All prices are listed in US dollars and are exclusive of any applicable taxes, which are your responsibility.

Payments are processed by Stripe. By providing payment information you authorise us to charge the applicable fees to your payment method on the billing schedule you select.

If a payment fails, we will notify you and attempt to re-charge. Accounts with unresolved payment failures may be suspended after a grace period of 7 days. You will retain access to your data during the suspension period.

Refunds: We do not offer prorated refunds for partial months. If you cancel during a billing period, your plan remains active until the end of that period. Refunds may be considered at our sole discretion in exceptional circumstances. Contact billing@zaaum.com for assistance.

Always-free plan: zaaum offers a permanently free tier with no credit card required and no time limit. The free plan includes core functionality subject to usage limits defined on our pricing page. You can use the free plan indefinitely.

14-day paid feature trial: When you sign up for a paid plan, you receive a 14-day free trial with full access to that plan's features. A valid credit card is required to start the trial. You will not be charged during the trial period.

At the end of the 14-day trial, your card on file will be automatically charged for the first billing cycle unless you cancel before the trial expires. We will send you reminder emails before the trial ends.

We reserve the right to modify the features included in the free plan or the trial at any time, with reasonable notice.

Our IP: The Services, including all software, interfaces, content, design, logos, and trademarks, are owned by or licensed to Zaaum and are protected by applicable intellectual property laws. You may not use our brand assets without our prior written consent.

Feedback: If you provide us with suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free licence to use and incorporate that feedback without obligation to you.

You retain full ownership of all data, content, and materials you upload or create within the Services (“Your Content”). You grant zaaum a limited, non-exclusive licence to host, process, and transmit Your Content solely as necessary to provide the Services to you.

You are solely responsible for ensuring that Your Content does not infringe any third-party rights or violate any applicable law.

Upon account termination, we will retain Your Content for 90 days to allow for re-activation. After that period, it will be permanently deleted. You can export your data at any time from your dashboard.

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

This obligation does not apply to information that: (a) becomes publicly available without breach of this agreement; (b) was known to the receiving party before disclosure; or (c) is required to be disclosed by law or court order, provided the receiving party gives reasonable advance notice.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that the Services will meet your specific requirements, that results obtained from using the Services will be accurate or reliable, or that any errors in the Services will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZAAUM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

You agree to indemnify, defend, and hold harmless Zaaum and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) Your Content; or (d) your violation of any rights of another person or entity.

By you: You may cancel your account at any time from your account settings. Cancellation takes effect at the end of the current billing period.

By us: We may suspend or terminate your access to the Services immediately, without notice, if you breach these Terms, engage in fraudulent or illegal activity, or if continued provision of the Services would create legal or security risk for us or other users.

Effect of termination: Upon termination, your right to access the Services ceases. Sections on Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law survive termination.

We reserve the right to update these Terms at any time. For material changes, we will provide at least 14 days' notice by email and by posting a notice on our website. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.

If you do not agree with the updated Terms, you must stop using the Services and cancel your account before the effective date.
